To be read in conjunction with the Booking Details. 

Important Terms 

Confirmation 

A booking is only confirmed once Adframe receives either a signed copy of the Booking Details or an official Purchase Order (where required). Your order becomes binding when Adframe issues a written booking confirmation or order acceptance. If a PO number is required by your organisation, please ensure this is supplied promptly. 

Artwork 

All artwork must be sent to the email address provided in your Booking Details, clearly stating your Campaign Name, Start and End Dates, and Booking ID. It is your responsibility to supply artwork in line with Adframe’s Artwork Specification, by the stated Artwork Deadline. 

If artwork is submitted late or does not meet specification, Adframe cannot guarantee on-time posting. Missed airtime caused by late or unsuitable artwork will be fully chargeable. 

For digital campaigns, Adframe will continue to display your most recently approved artwork until valid new artwork is received. 

Late Artwork Submission Fee 

Artwork submitted after the Artwork Deadline will incur a £60 per poster late fee, reflecting third‑party posting costs caused by the delay. 

Posting of Paper Posters 

The Booking Start Date refers to the first Monday of your contracted Advertising Period. Posters may be installed at any point during the first week. Removal cycles follow the same pattern. Campaign duration is unaffected by posting or removal timing. 

Cancellations 

Any Order cancelled within 30 days of the Booking Start Date will be charged in full, including production costs. Where volume‑based discounts were applied, the cancellation will trigger a retrospective charge to bring all consumed Airtime up to the correct undiscounted rate.

Payment 

New customers or those failing a credit check may be required to pay up‑front. As standard, invoices are issued 7 days before the Booking Start Date and are payable within 7 days

Poster Guarantee 

Paper posters are guaranteed for 4 weeks. If damaged within this period, Adframe will reprint and repost at its own cost and credit lost airtime. No guarantee applies beyond 4 weeks. 

Extreme Weather 

In severe weather (as defined by Met Office warnings), posting delays may occur. Adframe will attempt to deliver on time, but cannot offer credits for delays caused by extreme conditions. 

1. Definitions and Interpretation 

‘Adframe’ means Adframe Ltd, the media operator supplying advertising services under these Terms. 

‘Advertiser’ means any party acting as Principal placing an Order. 

‘Advertising’ means the digital or paper content supplied for display. 

‘Advertising Airtime’ means the display time allocated to the Principal. 

‘Agreement’ means the contract formed between Adframe and the Principal under these Terms. 

‘Artwork Deadline’ means the required date for artwork delivery. 

‘Booking Details’ means the written description of the campaign supplied by Adframe. 

‘Booking Start Date’ means the first day of contracted airtime (first Monday for paper posters). 

‘Fees’ means all charges payable for Services. 

‘Materials’ means all artwork, posters, files or related components required for display. 

‘Order’ means a confirmed and accepted booking. 

‘Principal’ means the Advertiser or Agency responsible for payment. 

‘Screens’ means any Adframe advertising site or panel. 

‘Services’ means all services provided by Adframe described in the Booking Details. 

‘Working Day’ means Monday–Friday, excluding public holidays. 

2. Appointment 

2.1 The Principal’s Order constitutes an offer to purchase Services. The Agreement begins when Adframe confirms the Order in writing. 

2.2 Quotations and Booking Details are valid for a limited period and do not constitute an offer. 

2.3 These Terms apply exclusively, overriding any conflicting terms supplied by the Principal. 

2.4 Placement of an Order (including via purchase order) constitutes acceptance of these Terms. 

2.5 The Principal grants Adframe a licence to reproduce and use the Advertising for fulfilment of the Agreement. 

2.6 The Principal warrants it has full authority to place the booking. 

3. Obligations of Adframe 

3.1 Adframe will supply the Services with reasonable care and skill, in line with the Booking Details. 

3.2 Performance dates are estimates and not guarantees. 

3.3 Adframe will operate, maintain and insure its Screens at its own cost. 

3.4 Adframe will schedule Advertising as agreed and update content when reasonably requested with at least four (4) hours’ notice within business hours. 

3.5 Adframe will pay all industry‑standard agency commissions. 

4. Obligations of the Principal 

4.1 The Principal must pay the Fees in accordance with Clause 6. 

4.2 The Principal is responsible for supplying Advertising to fill the booked airtime. 

4.3 The Principal must ensure all Advertising complies with legal and regulatory standards, and must disclose if the content relates to HFSS products. 

4.4 The Principal must obtain all necessary licences and consents, including copyright and talent rights. 

4.5 The Principal warrants that all Advertising will meet specification and deadlines. 

4.6 No interactive technology may be included without Adframe’s prior consent. 

4.7 The Principal must cooperate fully with Adframe. 

4.8 Principal Default may result in suspension of Services and associated costs. 

5. Provision, Acceptance & Display of Advertising 

5.1 Paper posters must be delivered carriage‑paid by the Artwork Deadline. 

5.2 Digital artwork must be supplied at least five (5) Working Days before display, or eight (8) for non‑standard formats. 

5.3 If Advertising is late or unsuitable, Adframe may display previous content or leave the space blank. Fees remain fully payable. 

5.4 Adframe may reformat artwork for an agreed fee. 

5.5 Adframe will action approved copy changes as soon as reasonably possible. 

5.6 Adframe may offer alternative dates/sites if operational issues arise. Refusal of alternatives forfeits credits or refunds. 

5.7 Public announcements may override scheduled Advertising when required by authorities. 

6. Payments 

6.1 Fees exclude design, production, or delivery unless otherwise stated. 

6.2 Invoices are issued to the Principal’s registered address. 

6.3 Payment is due within 7 days unless otherwise agreed. 

6.4 Invoice queries must be raised within 5 days. 

6.5 Late payments incur interest at 4% above Barclays Bank base rate. 

6.6 Adframe may suspend Services if payment remains outstanding. 

6.7 All payments must be made without deduction or set‑off. 

7. Cancellations 

7.1 Adframe does not accept cancellations for campaigns due to run in October, November, or December

7.2 For all other periods, cancellations require 3 months’ written notice. 

7.3 Cancellations within 90 days of the Booking Start Date trigger percentage charges: - 15% (90–75 days) - 30% (75–60 days) - 40% (60–45 days) - 70% (45–30 days) - 90% (30–14 days) - 100% (less than 14 days) 

7.4 Discounted bookings will be recalculated at Rate Card pricing. 

7.5 Adframe may reallocate cancelled sites even where cancellation charges are paid. 

8. Warranties, Liability & Indemnities 

8.1 Adframe may refuse Advertising that breaches these Terms or legal standards. 

8.2 The Principal indemnifies Adframe against all losses arising from its breach or negligence. 

8.3 Adframe’s liability is limited to the Fees paid for the affected Order. No liability applies for indirect loss, reputational damage, or force majeure. 

9. Non‑Display of Advertising 

9.1 Faulty Sites will be investigated and repaired as soon as reasonably possible. No credits apply if corrected within 48 hours or affected by force majeure. 

9.2 Additional rules apply to dynamic campaigns, including testing requirements and mandatory backup content. 

9.3 Adframe is not responsible for failures caused by third‑party data or connectivity. 

 

10. Termination 

Adframe may terminate the Agreement immediately if the Principal: - commits a material breach and fails to remedy it within 3 days, or - enters insolvency, liquidation, or similar proceedings. 

The Principal may terminate if Adframe becomes insolvent. 

Termination does not affect accrued rights. 

11. Confidentiality 

Both parties must keep all commercial information confidential for 5 years. 

12. General 

12.1 Neither party is liable for force majeure delays. 

12.2 Screens remain the exclusive property of Adframe. 

12.3 The Principal must comply with anti‑bribery and anti‑slavery laws. 

12.4 Assignment of the Agreement is restricted. 

12.5 Waivers must be explicit and in writing. 

12.6 Variations must be agreed in writing. 

12.7 No third‑party rights apply. 

12.8 Notices must be sent via registered post. 

12.9 These Terms form the entire agreement. 

12.10 This Agreement is governed by English law. 

All fees are subject to VAT.
